📄 Terms of Business

Legacy Launchpad (Pty) Ltd (registration number: _________________) provides administrative, documentation, and compliance support services. These Terms of Business govern the relationship between Legacy Launchpad and its clients. By engaging our services, you agree to these terms.
1. Services Provided
Legacy Launchpad offers:
- File Directory Structures (FDS) – industry‑specific folder hierarchies
- Document Roadmaps – comprehensive lists of required documents
- Document drafting – customised policies, contracts, forms, and checklists
- Compliance consulting – guidance on registrations, licensing, and regulatory requirements
- Full Franchise Bundle – FDS + Roadmap + all drafted documents for a single industry
- Industry Combo – FDS + Roadmap for multiple industries
We do not provide legal advice, tax advice, or accredited training. Clients are encouraged to seek independent professional advice where necessary.
2. Pricing and Payment
Our current pricing is published on our Pricing page. All prices exclude VAT (we are not yet VAT registered). Fees are fixed and quoted per project or product. Payment terms:
- For FDS and Roadmap products: full payment before delivery.
- For document drafting and bundles: 50% deposit required before commencement, balance due on completion.
- Payment methods: EFT to Legacy Launchpad bank account (details provided on invoice).
- Late payment: interest at 2% per month on overdue amounts.
3. Delivery and Acceptance
Products are delivered electronically (PDF, Word, Excel, or text files) via email or secure download link. The client is deemed to have accepted the deliverables unless written notice of non‑acceptance is provided within 7 days of delivery. Reasonable revisions are included (up to two rounds for drafted documents).
4. Limitation of Liability
Legacy Launchpad's total liability to the client for any loss, claim, or damage arising from its services (whether in contract, delict, or otherwise) shall be limited to the total fees paid by the client for the specific service giving rise to the claim.
Legacy Launchpad shall not be liable for:
- Indirect or consequential losses
- Loss of profit, revenue, or business opportunity
- Penalties or fines imposed by any regulatory authority (including SARS, CIPC, DSD, PSIRA, etc.)
- Any loss arising from the client's failure to obtain independent legal or tax advice
This limitation applies even if Legacy Launchpad has been advised of the possibility of such loss.
5. Intellectual Property
All templates, methodologies, file structures, and roadmaps developed by Legacy Launchpad remain its intellectual property. However, the client is granted a perpetual, non‑exclusive license to use them for their own internal business purposes. The client may not resell, redistribute, or share these materials with third parties without written consent.
6. Confidentiality
Both parties agree to keep confidential any non‑public information disclosed during the engagement. This obligation survives termination of the agreement.
7. Termination
Either party may terminate a specific engagement by written notice. Upon termination, the client pays for all work completed up to the date of termination. Legacy Launchpad reserves the right to suspend services if payment is overdue by more than 30 days.
8. Governing Law and Dispute Resolution
These Terms of Business and any related service agreements are governed by the laws of the Republic of South Africa. Any dispute shall first be referred to mediation; if unresolved, to arbitration in Johannesburg in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
9. Amendments
Legacy Launchpad may update these Terms of Business from time to time. The latest version will be posted on our website. Continued engagement after changes constitutes acceptance.
